Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Agents Squads ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Agents Squads provides AI consulting and implementation services, including but not limited to:

• AI agent design and development
• AI system implementation and integration
• Technical consulting and advisory services
• Training and knowledge transfer
• Custom AI solution development

Specific deliverables, timelines, and pricing for consulting engagements will be defined in separate Statements of Work (SOW) or service agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Respond to requests for information, approvals, and feedback in a timely manner
• Ensure you have the necessary rights and permissions to provide any data or materials used in our services
• Use our services only for lawful purposes and in accordance with these Terms
• Not attempt to reverse engineer, decompile, or disassemble any proprietary tools or methodologies

4. Intellectual Property

4.1 Our Intellectual Property

All pre-existing intellectual property, methodologies, frameworks, tools, and proprietary processes developed by Agents Squads prior to or independent of any client engagement remain the exclusive property of Agents Squads. This includes our research, agent architectures, and reusable components.

4.2 Client Intellectual Property

Any intellectual property you provide to us for use in our services remains your property. You grant us a limited, non-exclusive license to use such materials solely for the purpose of providing the contracted services.

4.3 Deliverables

Unless otherwise specified in a separate agreement, custom work product created specifically for you as part of our services ("Deliverables") will be assigned to you upon full payment. However, we retain the right to use general knowledge, skills, and experience gained during the engagement.

4.4 Open Source

Some components of our work may incorporate open-source software. Such components remain subject to their respective open-source licenses.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of any service agreement for a period of three (3) years.

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

7. AI Systems Disclaimer

You acknowledge and agree that:

• AI systems may produce unexpected outputs or errors
• AI systems should be monitored and validated by qualified personnel
• You are responsible for reviewing and approving any AI-generated outputs before use in production
• We are not liable for decisions made based on AI system outputs
• AI technology is evolving, and systems may require ongoing maintenance and updates

8. Indemnification

You agree to indemnify, defend, and hold harmless Agents Squads and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate a service engagement:

• Upon 30 days' written notice for convenience
• Immediately upon material breach by the other party that remains uncured for 15 days after written notice
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you shall pay for all services rendered up to the effective date of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any applicable service agreements or Statements of Work, constitute the entire agreement between you and Agents Squads regarding the subject matter herein and supersede all prior agreements and understandings.
